Terms & Condition

These Terms and Conditions of Use (hereinafter referred to as the "Terms") govern the access and use of the IT solutions and services developed and offered by W-Ipp, a technology company, for individuals and businesses (hereinafter referred to as the "Client"). By accessing or using our solutions, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

 

1. Description of Services

 

W-Ipp provides technology solutions and IT services including, but not limited to, software development, web and mobile applications, IT consulting, and technical support. The specifics of the services provided to a given Client will be detailed in a separate service agreement, quote, or project proposal.

 

2. Intellectual Property

 

  • W-Ipp's Ownership: All rights, titles, and interests related to the solutions developed by W-Ipp, including software, source code, databases, designs, trademarks, and content, are the exclusive property of W-Ipp or its licensors.

  • License to Use: W-Ipp grants the Client a limited, non-exclusive, and non-transferable license to use the provided solutions, solely for the purposes outlined in the service agreement. The Client is not permitted to reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, publish, download, store, or transmit our solutions, unless expressly authorized in writing.

  • Client's Ownership: The Client retains full ownership of their data, information, and content that they provide to W-Ipp for the execution of the services. W-Ipp agrees to treat this information confidentially and to use it only within the scope of providing the services.

 

3. Confidentiality

 

W-Ipp is committed to protecting the confidentiality of the Client's information. Confidential information will not be disclosed to third parties unless it is necessary for the provision of services or as required by law. The Client also agrees to maintain the confidentiality of any proprietary technical or business information of W-Ipp of which they may become aware.

 

4. Client's Responsibility

 

The Client is responsible for the accuracy, integrity, and legality of the data and content they use with W-Ipp's solutions. The Client agrees not to use W-Ipp's services for any illegal activities or activities prohibited by these Terms.

 

5. Limitation of Liability

 

W-Ipp provides its solutions "as is" and makes no warranties, express or implied, regarding their performance, reliability, or suitability for a particular purpose, unless stipulated in a service agreement. To the extent permitted by law, W-Ipp shall not be liable for any direct, indirect, special, consequential, or incidental damages resulting from the use or inability to use our solutions.

 

6. Modifications to the Terms

 

W-Ipp reserves the right to modify these Terms at any time. Modifications will be effective upon their publication on our website or once the Client has been notified. Continued use of the services after the publication of modifications constitutes acceptance of the new terms.

 

7. Termination

 

W-Ipp may terminate a Client's access to its services in the event of a breach of these Terms or non-payment of applicable fees. The Client may terminate the services in accordance with the provisions of their service agreement.

 

8. Governing Law and Jurisdiction

 

These Terms are governed by the laws in force in the province of Québec and the Canada. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Montreal.
